Job Summary:
Vail Resorts is seeking a Corporate Counsel to join our legal team. The Corporate Counsel will provide legal support for the Company’s corporate governance, securities compliance, and strategic development. The successful candidate will demonstrate sound judgment in complex situations, excellent attention to detail, the ability to communicate confidently and clearly with business clients, and will thrive in a fast-paced environment.

Job Responsibilities:
Reporting to the Deputy General Counsel, the Corporate Counsel will work directly with the DGC and the General Counsel in support of the following responsibilities:
- Contribute broadly to the success of the businesses, serving as a trusted advisor to business leaders;
- Prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings. Ensure compliance with SEC regulations and NYSE rules;
- Oversee preparation of Board and Committee agendas and materials;
- Advise Finance and Accounting teams regarding credit facilities and corporate finance transactions;
- Oversee entity management and subsidiary maintenance in the United States, Canada, and Australia;
- Administer the Company’s Insider Trading policy and trading windows;
- Support Regulation FD compliance, stockholder engagement, and the Annual Stockholders Meeting;
- Support the Company’s strategic development transactions, including acquisitions, asset purchases, and other potential partnership opportunities.
- Plan, develop, and manage processes and tools for the intake, tracking, and reporting of active matters. Plan and manage legal budget, ensuring high quality legal services are delivered in a fiscally responsible manner.

Job Qualifications:
- Bachelor’s degree and JD required.
- Active state bar license. If out of state license, successful applicant will be required to apply for Colorado single-client bar license (or full Colorado bar license).
- Minimum 4 years’ legal experience, with a focus in corporate governance and securities law. Experience with public company SEC reporting obligations and filings.
- Experience supporting mergers and acquisitions preferred, including legal due diligence and drafting and negotiation of asset purchase, stock purchase, merger, and ancillary M&A agreements.
- Agile and flexible thinker, with strong legal and financial acumen.
- Demonstrated commitment to providing exceptional service to business clients in a resourceful and responsive manner.
- Strong written and verbal communication skills, with the ability to effectively and concisely convey information at all levels within the organization.
- Ability to be proactive, a team player and take responsibility for managing a variety of legal matters.
- Exceptional judgment and analytical abilities.
- Strong organizational and time management skills.
- Demonstrated ability to work under high pressure conditions and to successfully handle urgent situations with patience and diplomacy.
